NDIS Sub-Contractor Agreement
1. Parties
• Principal: Good Better Best Mentoring
• Contractor: The signatory of this agreement
2. Scope of Services
• Contractor agrees to deliver NDIS-funded supports and services (e.g., mentoring, community access) as directed by the Principal.
• Contractor must maintain a valid NDIS Worker Screening Clearance and immediately inform the Principal of any suspension, expiry, or change in status.
• All services provided must meet the NDIS Practice Standards and comply with relevant legislation.
3. Service Rates
• Monday to Friday: $50 per hour
• Saturday: $75 per hour
• Sunday: $90 per hour
Rates are inclusive of any applicable overheads, insurance, and administration costs.
4. Invoicing and Payment
• Contractor must submit invoices by each Tuesday for all services delivered during the previous week.
• Invoices will be paid within 14 calendar days of submission, subject to plan management or NDIA payment processing times, but no later than 14 days.
• Invoices must clearly list client initials, dates and times of support, duration, and service type.
5. Non-Solicitation Clause
• Contractor must not solicit, accept, or continue service relationships with any participant referred by Good Better Best Mentoring independently of the Principal.
• Any breach of this clause will result in immediate termination of this Agreement and may result in legal action for damages.
6. Insurance
• Contractor is responsible for maintaining:
• Public Liability Insurance (minimum $5 million coverage)
• Professional Indemnity Insurance (minimum $1 million coverage)
• Personal Accident or Income Protection insurance (recommended)
Proof of insurance must be provided prior to commencement and upon renewal.
7. Compliance Obligations
• Contractor must comply with:
• NDIS Code of Conduct
• Privacy Act 1988 (Cth)
• Workplace Health and Safety obligations
• Mandatory reporting and incident management protocols
• Contractor must participate in audits, supervision, or training as reasonably requested.
8. Record-Keeping
• Accurate records of service delivery must be maintained for at least seven years and made available to the Principal upon request.
9. Cancellations
• If a participant cancels with less than 48 hours’ notice, the Contractor may claim up to 100% of the scheduled fee.
• All cancellations and no-shows must be documented and communicated to the Principal.
10. Termination
• Either party may terminate this Agreement with 14 days’ written notice.
• Immediate termination applies for:
• Breach of confidentiality or non-solicitation
• Misconduct or unsafe practice
• Loss of NDIS clearance or insurance coverage
11. Dispute Resolution
• Both parties agree to resolve disputes in good faith. If unresolved, the matter may be referred to mediation or the NDIS Quality and Safeguards Commission.
12. Confidentiality
• Contractor must maintain the confidentiality of participant and business information at all times.
• This obligation survives termination of this Agreement.
13. Entire Agreement
• This Agreement represents the full understanding between both parties and supersedes all prior agreements, written or verbal.
